100 Agents Hackathon Terms and Conditions

By submitting your application or signing up to participate in any hackathon organized by Codingly, LLC, doing business as The Peak ("Company"), you ("Participant") agree to the following terms and conditions.

1. Eligibility & Participation

  1. 1.1. Submission of an application does not guarantee participation. The Company reserves the right to accept or reject any applicant for any reason or no reason, with or without notice.
  2. 1.2. Invitations to participate in any hackathon are discretionary and may be revoked at any time, including before or during the event.

2. Code of Conduct

  1. 2.1. Participants agree to act respectfully and professionally toward other participants, mentors, judges, and organizers.
  2. 2.2. The Company may remove any Participant who behaves inappropriately, violates event rules, or disrupts the experience of others.

3. Data & Communication

  1. 3.1. By registering, you consent to the collection and storage of your personal information, including your name, email address, and any other data submitted through the application form.
  2. 3.2. The Company may retain your information to evaluate participation, communicate about the current event, and notify you of future hackathons or opportunities. You may unsubscribe from such communications at any time.
  3. 3.3. Your data will not be sold or shared with unrelated third parties without your consent, except as required by law.

4. Intellectual Property

  1. 4.1. All work you create during the hackathon remains your intellectual property unless otherwise agreed in writing.
  2. 4.2. You agree not to submit work that infringes upon the intellectual property rights of others.
  3. 4.3. The Participant is solely responsible for ensuring that their submissions do not infringe upon the intellectual property rights of any third party. The Company disclaims all liability for any such infringement and reserves the right to disqualify any submission that is alleged or determined to violate the rights of others.

5. Media & Publicity

  1. 5.1. You grant the Company permission to use your name, image, and hackathon submission for promotional purposes, including social media, websites, and press coverage, unless you notify the Company in writing before the event begins.

6. No Guarantees

  1. 6.1. Participation in the hackathon does not entitle you to any compensation, prize, recognition, or outcome. Selection as a finalist, winner, or invitee is at the sole discretion of the Company.
  2. 6.2. The Company makes no guarantees about the continuity or execution of any event and reserves the right to cancel, postpone, or modify an event at any time.

7. Liability

  1. 7.1. You participate at your own risk. The Company is not liable for any damages, losses, or expenses resulting from your participation or inability to participate in the hackathon.

8. Governing Law

  1. 8.1. These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

9. Tax Compliance

  1. 9.1. All cash prizes are considered gross amounts and may be subject to U.S. tax reporting and withholding requirements under applicable federal law.
  2. 9.2. The Company is required to comply with IRS regulations and may withhold up to 30% of the prize amount for non-U.S. participants, unless a valid tax treaty applies and proper documentation is provided.
  3. 9.3. In order to receive any cash prize, Participants must complete and submit appropriate tax forms (e.g., Form W-9 for U.S. persons or Form W-8BEN for non-U.S. persons) as requested. Failure to provide accurate and complete tax documentation may result in withholding, delay, or forfeiture of the prize.

10. Prize Disbursement and Fees

  1. 10.1. All cash prizes are stated in U.S. Dollars (USD) and represent gross amounts prior to the application of any applicable taxes or fees.
  2. 10.2. The Company is not responsible for currency conversion charges, international wire fees, bank transfer costs, or any other charges incurred during the prize payout process.
  3. 10.3. Any such fees will be deducted from the total prize amount at the time of transfer, and the net amount received by the winner may be less than the announced prize.
  4. 10.4. It is the responsibility of the Participant to ensure accurate and timely provision of banking or payment information required for prize disbursement.
  5. 10.5. For all non-U.S. based recipients, an additional $250 will be deducted from the base prize amount (pre-tax) to cover accounting costs required to ensure full compliance with international tax treaties and withholding requirements. This applies to any prize including cash and non-cash prizes (e.g., gift cards).
  6. 10.6. For sponsor prizes that are not cash prizes (e.g., credits, access to digital products/services), the Company's responsibility is limited to introducing the prize recipient to the sponsor. The Company has no responsibility for any follow-up communications, prize fulfillment, or issues that may arise beyond the initial introduction.
  7. 10.7. There is a formal prize claiming process that all winning teams and individual participants must follow. Participants must cooperate fully and respond in a timely manner to all requests for information, documentation, or actions required to complete the prize claiming process. The Company reserves the right, at its sole discretion, to exclude any participant or team from receiving a prize if they fail to cooperate or respond timely during the prize claiming process.
